This toolkit supplies the working documents for a commercial lease from first tour to final surrender. It opens with a space comparison sheet and three calculators that convert quoted rents into the numbers that actually decide affordability. A letter of intent template captures every business term before a draft is prepared, and a consolidated lease comment letter presents the tenant's requests in the one form landlords respond to. Model clause language is provided for the four survivable guaranty forms, the assignment standard, the operating expense exclusion list and audit right, rent commencement, and the restoration exhibit. Later modules cover the annual reconciliation audit demand, the option exercise notice, the assignment consent request, the termination proposal, the surrender letter, and the deposit demand. A lease abstract form turns the signed document into something usable, and a landlord workout module addresses the other side of the table. An authority card links every governing statute, regulation, and decision to its text.

Two tools do most of the work here: Tool 3, the letter of intent, and Tool 5, the consolidated comment letter. Everything else supports them.
Pair with Commercial Leasing for Small Business: A Comprehensive Guide to Terms, Build-Out, Guaranties, and Exit and Negotiating and Exiting a Commercial Lease: A Practical Checklist.
Tool 1 — The space comparison sheet
| Space A | Space B | Space C | |
|---|---|---|---|
| Address | |||
| Usable sq ft (measured) | |||
| Rentable sq ft | |||
| Load factor | |||
| Quoted rate | |||
| Structure (gross / MG / NNN / %) | |||
| Prior year actual CAM per sq ft | |||
| Taxes per sq ft | |||
| Insurance per sq ft | |||
| All-in annual cost | |||
| Cost per USABLE sq ft | |||
| Improvement allowance offered | |||
| Free rent offered | |||
| Delivery condition | |||
| HVAC age / capacity | |||
| Electrical service | |||
| Parking (spaces / cost) | |||
| Signage | |||
| Competitors in the property | |||
| Term / options offered |
⭐ Compare on the "cost per usable sq ft" row, not the quoted rate. A $30 space at a 12% load beats a $28 space at a 22% load.
Tool 2 — The three calculators
2A — All-in occupancy cost
| Line | Per sq ft | Annual | Monthly |
|---|---|---|---|
| Base rent | |||
| Real estate taxes | |||
| Insurance | |||
| CAM / operating expenses | |||
| Utilities (if separately metered) | |||
| Parking | |||
| After-hours HVAC (estimate) | |||
| Percentage rent (estimate) | |||
| TOTAL |
2B — Occupancy cost ratio
Total annual occupancy ÷ projected revenue = ____% Run again at 70% of projected revenue = ____%
⭐ If the business does not survive the 70% case, the space is too expensive. No amount of enthusiasm changes that.
2C — Effective rent
| Line | Amount |
|---|---|
| Nominal rent over the full term (with escalations) | |
| Less: free rent | − |
| Less: improvement allowance | − |
| Net cost over term | |
| ÷ term years ÷ square feet | |
| = Effective rate per sq ft per year |
2D — The exit number
| Line | Amount |
|---|---|
| Remaining rent at the worst plausible failure point | |
| Plus restoration cost estimate | + |
| Plus unamortized allowance and commission (if the guaranty is capped there) | + |
| Less security deposit | − |
| = PERSONAL EXPOSURE |
⚠ If the owner cannot survive that number, the guaranty must be renegotiated before signing — not after.
Tool 3 — The letter of intent template

This letter is non-binding except as to confidentiality and Landlord's agreement not to negotiate with other prospects for [X] days.
Tool 4 — The delivery condition specification
Attach as an exhibit. Silence here is what "AS-IS" is made of.
☐ HVAC — [ ] tons, distributed to the premises, in good working order, with a [X]-month warranty ☐ Electrical — [ ] amps at [ ] volts, panel located [ ] ☐ Plumbing — stub-outs at [locations]; water and sanitary capacity for [use] ☐ Sprinklers — installed to code for [occupancy classification], heads to be relocated by [party] ☐ Floor — level, sound, free of coverings, ready for [finish] ☐ Ceiling — [grid and tile / open to deck] ☐ Demising walls — constructed, insulated, and finished to [standard] ☐ Restrooms — [in-suite / common], compliant with applicable accessibility requirements ☐ Path of travel to the premises compliant — Landlord's obligation — 42 U.S.C. § 12183, 28 CFR Part 36 ☐ Roof — watertight, with a [X]-year remaining useful life ☐ Environmental — a baseline condition report delivered before commencement — 42 U.S.C. § 9601, 42 U.S.C. § 9607 ☐ Delivery date, with a day-for-day rent abatement for late delivery and a termination right after [X] days
Tool 5 — The consolidated lease comment letter
One email. One organized list. Language proposed, not complaints. This is the format landlords actually respond to.
[Date] · Re: [Premises] — Tenant comments to draft Lease dated [ ]
We are prepared to sign promptly. Our comments are below, in order of importance to us. Proposed language is included so the revisions can be made directly.
Priority 1 — Guaranty (§ __). Replace with: "The Guarantor's liability under this Guaranty shall terminate automatically upon the completion of twenty-four (24) consecutive months from the Rent Commencement Date during which no monetary default has occurred that remained uncured beyond any applicable notice and cure period. Guarantor's aggregate liability shall in no event exceed $[ ], plus reasonable attorneys' fees not to exceed $[ ]. No amendment of the Lease made without Guarantor's written consent shall increase Guarantor's obligations."
Priority 2 — Assignment (§ __). Replace "in Landlord's sole and absolute discretion" with "which consent shall not be unreasonably withheld, conditioned, or delayed." Add: "Notwithstanding the foregoing, Tenant may without Landlord's consent assign this Lease or sublet the Premises to (i) an affiliate of Tenant, (ii) a successor by merger, consolidation, or reorganization, or (iii) a purchaser of all or substantially all of the assets of the business operated at the Premises, provided that the transferee assumes Tenant's obligations in writing and Tenant delivers notice within ten (10) days after the transfer."
Priority 3 — Rent Commencement (§ __). "The Rent Commencement Date shall be the later of (a) the date of Substantial Completion of the Tenant Improvements and (b) the date Tenant opens for business, and shall be extended one day for each day of Landlord Delay or delay in the issuance of permits not caused by Tenant."
Priority 4 — Operating Expenses (§ __). Add the exclusion list attached as Schedule 1; add: "Controllable Operating Expenses shall not increase by more than [ ]% per calendar year on a non-cumulative basis." Add: "Tenant shall have the right, within [180] days after receipt of any annual reconciliation, to audit Landlord's books and records relating to Operating Expenses. If the audit discloses an overstatement exceeding [3]%, Landlord shall reimburse Tenant's reasonable audit costs." Add: "Landlord shall deliver the annual reconciliation within [120] days after the end of each calendar year; failure to do so shall waive Landlord's right to collect any shortfall for that year."
Priority 5 — Restoration (§ __). "At the expiration or earlier termination of this Lease, Tenant shall be obligated to remove only those items identified on Exhibit __, and shall have no other restoration obligation. All other Tenant Improvements shall be surrendered with the Premises."
Priority 6 — Default and Remedies (§ __). Add notice and cure of [5] business days for monetary defaults and [30] days for non-monetary defaults, extended where a cure cannot reasonably be completed within that period and Tenant is diligently proceeding. Delete acceleration, or provide for present-value discount and credit for rents received. Delete the cross-default provision. Make the attorneys' fees provision reciprocal. Delete the waiver of counterclaims.
Priority 7 — Mitigation (§ __). "In the event of a default, Landlord shall use commercially reasonable efforts to relet the Premises, and shall credit against Tenant's obligations all rents received."
Priority 8 — Holdover (§ __). Reduce to 125% and delete consequential damages.
Priority 9 — SNDA. Landlord shall deliver a subordination, non-disturbance, and attornment agreement from each existing lender at or before the Commencement Date, and shall use commercially reasonable efforts to obtain one from any future lender.
Priority 10 — Accessibility (§ __). "Landlord shall be responsible for compliance of the base building, common areas, and the path of travel to the Premises with applicable accessibility requirements. Tenant shall be responsible for compliance of the Tenant Improvements."
We are flexible on [list two or three genuinely low-value items] and are prepared to concede them to reach agreement this week.
⭐ That last line is the reason this letter works. A tenant who concedes nothing gets nothing.
Tool 6 — The operating expense exclusion list
Attach as a schedule.
☐ Capital improvements, except those (a) required by a law enacted after the date of the Lease or (b) reasonably expected to reduce Operating Expenses, in each case amortized over useful life with interest at a stated rate ☐ Replacement of the roof, foundation, structural elements, or exterior walls ☐ Costs of leasing space to others — brokerage commissions, advertising, improvement allowances, and space planning ☐ Landlord's financing costs, debt service, and ground lease payments ☐ Depreciation and amortization, except as expressly permitted ☐ Penalties, fines, and interest arising from Landlord's violation or late payment ☐ Costs reimbursed by insurance, warranty, condemnation award, or another tenant ☐ Landlord's income, franchise, estate, and inheritance taxes ☐ Costs of correcting defects in original construction ☐ Costs arising from Landlord's negligence or breach ☐ Compensation of personnel above the level of building manager, and any portion not allocable to this property ☐ Charitable contributions, political contributions, and promotional costs ☐ Costs incurred in connection with the sale or refinancing of the property ☐ Management fees exceeding [ ]% of gross rents ☐ Costs of environmental remediation of conditions existing before the Commencement Date
Tool 7 — Guaranty language, four forms
Burn-off
"This Guaranty shall automatically terminate and be of no further force upon completion of twenty-four (24) consecutive months following the Rent Commencement Date during which no monetary default has occurred and remained uncured beyond any applicable notice and cure period. Landlord shall, within ten (10) days of written request thereafter, execute and deliver a written acknowledgment of such termination."
Cap
"Notwithstanding anything to the contrary, Guarantor's aggregate liability hereunder shall not exceed the sum of (a) the unamortized portion of the Tenant Improvement Allowance and (b) the unamortized portion of the brokerage commission paid by Landlord, each amortized on a straight-line basis over the initial Term, plus reasonable attorneys' fees not to exceed $[ ]."
Good guy
"Guarantor's liability shall be limited to obligations accruing through the Surrender Date. 'Surrender Date' means the date on which Tenant (i) delivers vacant possession of the Premises to Landlord broom-clean and free of all occupants and personal property, (ii) has paid all Rent and additional Rent accrued through such date, and (iii) has given Landlord not less than ninety (90) days' prior written notice of its intention to surrender."
Protective riders — add to any form
"No modification, amendment, or extension of the Lease made without Guarantor's prior written consent shall increase Guarantor's obligations. Guarantor shall be released upon any assignment of the Lease consented to by Landlord. Guarantor shall be entitled to all defenses available to Tenant other than Tenant's bankruptcy or insolvency."
☐ ⚠ The bankruptcy carve-out matters: the company's filing caps the landlord's claim under 11 U.S.C. § 502 but does not relieve the guarantor. Compare 11 U.S.C. § 365, 11 U.S.C. § 362, 11 U.S.C. § 541, and sales under 11 U.S.C. § 363.
Tool 8 — The annual reconciliation audit demand
[Date] · Re: [Premises] — Operating Expense reconciliation for calendar year [ ]
We received the reconciliation dated [ ] showing additional rent of $[ ].
Pursuant to § [ ] of the Lease, we are exercising our audit right and request the following within [30] days:
- A line-item general ledger of all Operating Expenses charged to the property for the year, with account descriptions.
- Invoices and contracts supporting each line item exceeding $[ ].
- The tax bill and any abatement or refund received.
- The insurance policy declarations and premium invoices.
- The calculation of Tenant's proportionate share, showing the total rentable area used and the occupancy rate.
- The gross-up calculation, if applicable.
- Identification of any capital expenditures included, the amortization schedule, and the basis on which they are chargeable under § [ ].
- Identification of any amounts reimbursed by insurance, warranty, or other tenants and how they were credited.
Please confirm that the audit period is tolled pending delivery of these materials. We reserve all rights, including the right to reimbursement of audit costs under § [ ].
Tool 9 — Option exercise, consent, and termination letters
Option exercise notice — ⭐ send early, by the exact method the lease requires, and get an acknowledgment
"Pursuant to Section [ ] of the Lease dated [ ], Tenant hereby irrevocably exercises its option to extend the Term for the [first] Extension Period of [ ] years, commencing [date] and expiring [date]. Please countersign and return the enclosed acknowledgment."
Assignment consent request
"Tenant requests Landlord's consent to the assignment of the Lease to [assignee], effective [date], in connection with the sale of substantially all assets of the business operated at the Premises. Enclosed are: the assignee's financial statements for the past [two] years; a description of the assignee's business and its intended use, which is within the permitted use; the assignee's proposed assumption agreement; and [ ]. Under Section [ ], consent may not be unreasonably withheld, conditioned, or delayed. Please respond within [15] days. If Landlord withholds consent, please state the specific reasons in writing. Tenant further requests a release of Tenant and Guarantor effective upon the assignment."
Termination proposal
"Tenant proposes to surrender the Premises effective [date], on the following terms: (1) Tenant pays all Rent through the surrender date; (2) Tenant pays a termination fee of $[ ]; (3) Landlord retains the security deposit of $[ ]; (4) Tenant delivers the Premises broom-clean, with the improvements in place and no restoration obligation; (5) Landlord releases Tenant and Guarantor from all further obligations under the Lease and the Guaranty; (6) mutual general releases. Tenant is current on Rent and the Premises are in good condition. Tenant is prepared to close within [30] days."
☐ ⭐ Send the termination proposal while current on rent. After the first missed payment there is nothing left to trade.
Surrender letter
"Tenant surrendered possession of the Premises on [date]. Enclosed are [ ] keys and [ ] access cards. Photographs of the condition of the Premises on the surrender date are attached. The items listed on Exhibit __ were removed; no other removal was required under Section [ ]. Tenant's forwarding address is [ ]. Please deliver an itemized statement and the balance of the security deposit within the period required by the Lease and applicable law."

Tool 11 — Landlord module: the workout proposal
⭐ A struggling tenant who calls early is worth more than an empty space.
☐ Deferral with repayment — abate or defer [X] months, repaid over [Y] months with interest, secured by an extension of term. ☐ Reduction for extension — reduce rent by [X]% for [Y] months in exchange for [Z] additional years at a defined rate. ☐ Percentage rent conversion — temporary conversion to a percentage of sales with a floor, reverting on recovery. ☐ Negotiated surrender — a termination payment plus deposit forfeiture, delivered in good condition, in exchange for full release. ☐ Assignment assistance — help the tenant find a replacement; a paying successor beats a judgment.
☐ Document every accommodation as a written amendment with an express reservation of rights, and confirm whether the guarantor consents — ⚠ an amendment made without the guarantor's consent may release the guarantor.
☐ Underwrite the next tenant on occupancy cost ratio, not just credit. It is the best single predictor of default.
