This guide covers the private securities fraud action end to end. It begins with the statutory architecture and the limits the Supreme Court has placed on who can be a defendant, because those limits determine case structure before any element is analyzed. It then works through each of the six elements in the order that reflects their practical difficulty, with extended treatment of scienter pleading and loss causation. Separate sections address the procedural regime that governs these cases, class certification and the price impact contest that decides it, the damages framework and why exposure figures overstate recovery, and the insider trading doctrines that share the rule's statutory home. The guide closes with the parallel proceedings problem and the compliance measures that build a defensible record before any dispute arises.
