A person becomes a limited partner:

Cal. Corp. Code § 15903.01 — Limited Partners is in force in the current edition of the Code, and nothing recorded condemns it.
A person becomes a limited partner:
(a) as provided in the partnership agreement;
(b) as the result of a conversion or merger under Article 11 (commencing with Section 15911.01); or
(c) with the consent of all the partners.
