OPINION OF THE COURT STAPLETON, Circuit Judge: This suit was instituted by City Capital Associates Limited Partnership (City Capital) seeking preliminary and permanent in-junctive relief against Interco Incorporated (Interco), and certain Delaware officials to foreclose application of Section 203 of the General Corporation Law of Delaware, Del. Code Ann.Tit. 8, § 203 (1987), to City Capital’s tender offer for Interco stock. Inter-co counterclaimed alleging violations of the Williams Act. The district court denied Interco’s motion for a preliminary injunction on its counterclaim, 696 F.Supp. 1551, and this appeal followed. The appeal raises only a single Williams Act issue.
